Terms of Service - tZero Payments

These Terms and Conditions (“Terms”) govern your use of the services provided by tZero Payments, a licensed Payment Service Provider operated by Niobe Payment Services LLC(“tZero”, “we”, “our” or “us”). By signing up for, accessing, or using the Platform, you agree to be bound by these Terms.

1. Introduction

The website www.tzeropayments.com and associated APIs, dashboards, and reporting tools (collectively the “tZero Platform”) are owned and operated by Niobe Payment Services LLC.

By accessing our Platform or Services, you confirm that:

  • You have read, understood, and accepted these Terms.
  • You are at least 18 years old and legally capable of entering into binding agreements.
  • Where you represent a company or entity, you are authorized to bind that entity to these Terms.

2. Services Provided

tZero provides Payment Service Provider activities, including:

  • Merchant acquiring & processing for Visa, Mastercard, and alternative payment methods.
  • Pay-in and payout services for merchants and enterprise clients.
  • Wallet-to-wallet and APM integrations (subject to scheme/acquirer approval).
  • Settlement, reconciliation, and reporting tools for merchants.
  • Risk monitoring, chargeback management, and fraud detection services.

tZero does not provide regulated financial, remittance, or investment services unless duly licensed.

3. Merchant Onboarding & Due Diligence

  • Access to Services is subject to successful completion of KYC/KYB and CDD procedures.
  • You must provide accurate and complete information regarding your business, ownership, operations, and financial condition.
  • We may request additional documentation at any time (licenses, tax filings, financial statements, etc.).
  • Approval or rejection of applications is at tZero’s sole discretion.

4. Acceptable Use Policy (AUP)

You agree not to use the Platform or Services for:

  • Fraud, money laundering, terrorist financing, or sanctions evasion.
  • Submitting false or misleading merchant or transaction data.
  • Activities prohibited under card scheme rules or applicable law.
  • Interference with, disruption, or reverse-engineering of the Platform.
  • Allowing unauthorized third-party access to your merchant account.

Violation may result in immediate suspension or termination.

5. Declined Lines of Business

tZero does not onboard or support merchants involved in:

  • Unlicensed crypto exchanges, wallets, ICOs, or token sales.
  • Unlicensed remittance, FX trading, or investment platforms.
  • Gambling, betting, or gaming without required licenses.
  • Adult content, escort services, or sexually exploitative material.
  • Firearms, ammunition, explosives, or weapons sales.
  • Sanctioned entities or jurisdictions (FATF, OFAC, UAE lists).
  • Shell companies without legitimate business purpose.

We may update this list in line with regulatory or acquirer guidance.

6. Risk Monitoring & Credit Exposure

  • Merchants are subject to ongoing monitoring of transactions, chargebacks, refunds, and unusual activity.
  • tZero may impose transaction limits, rolling reserves, or holdbacks to manage risk.
  • You must maintain sufficient funds to cover chargebacks, refunds, and fees.
  • Accounts may be suspended or terminated if risk thresholds are exceeded.

7. Merchant Obligations

As a merchant, you must:

  • Maintain compliance with PCI DSSand implement adequate security controls.
  • Ensure business practices are lawful, transparent, and compliant.
  • Respond promptly to information/document requests from tZero.
  • Cooperate with investigations into fraud, AML, or suspicious activity.

8. Fees, Billing & Settlement

  • Fees will be communicated in yourMerchant Agreement.
  • Settlements are credited to your designated bank account within agreed timelines.
  • We reserve the right to deduct fees, chargebacks, or reserves from settlement funds.
  • Additional charges may apply for disputes, refunds, or regulatory inquiries.

9. Suspension & Termination

tZero may suspend or terminate your account if:

  • You breach these Terms, card scheme rules, or applicable law.
  • Your business is deemed high-risk or prohibited.
  • You provide false, incomplete, or misleading information.
  • Required by regulators, acquirers, or court order.

Upon termination, all outstanding amounts (fees, chargebacks, reserves) remain payable.

10. Liability & Indemnity

  • To the maximum extent permitted by law, tZero isnot liable for indirect, consequential, or punitive damages, including lost profits or data.
  • You agree to indemnify and hold harmless tZero, its affiliates, and employees from claims, costs, or damages arising from:
    • Your breach of these Terms.
    • Non-compliance with applicable laws.
    • Third-party claims linked to your use of the Services.

11. Data Protection & Privacy

  • We collect and process personal/business data in line with our Privacy Policy.
  • Merchants are responsible for obtaining customer consent to process payment data.
  • You must comply with applicabledata protection laws(e.g., UAE PDPL, GDPR where applicable).

12. Security & Confidentiality

  • You are responsible for safeguarding your login credentials, API keys, and account access.
  • You must notify tZero immediately of any unauthorized access or suspected breach.
  • We may suspend or restrict access to protect account security.

13. Intellectual Property

  • All content, software, APIs, trademarks, and intellectual property on the tZero Platform belong to Niobe Payment Services LLC.
  • You are granted a limited, revocable, non-transferable license to use the Platform strictly for legitimate business purposes.
  • You may not copy, modify, or distribute Platform materials without prior written consent.

14. Communication & Notices

  • We may provide notices via email, dashboard alerts, or updates on our website.
  • Notices are deemed received once sent to your registered email address.
  • It is your responsibility to keep contact details up to date.

15. Amendments to Terms

  • tZero reserves the right to amend these Terms at any time.
  • Material changes will be communicated to you via email or the Platform.
  • Continued use of Services constitutes acceptance of amended Terms.

16. Force Majeure

tZero is not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, government actions, strikes, or technical failures of third-party providers.

17. Reporting & Audits

  • Merchants must maintain complete and accurate transaction records for at least five (5) yearsor as required by law.
  • tZero and regulators reserve the right to request access to such records for compliance or audit purposes.

18. Complaints & Disputes

  • Complaints may be submitted to support@tzeropayments.com.
  • We will aim to resolve complaints within a reasonable timeframe.
  • If unresolved, disputes shall be subject to the exclusive jurisdiction of Dubai Courts, UAE.

19. Governing Law

These Terms are governed by the laws of the Emirate of Dubai, United Arab Emirates, without regard to conflict of law provisions.
